That a prospectus must be approved (in the Netherlands and the BES Islands by the Authority for the Financial Markets, and in Curaçao and Sint Maarten by the Joint Central Bank of these countries) does not guarantee that the prospectus is not misleading.

Na behandeling door deze partijen zal de reparatiewetgeving aan de Staten van Curaçao ter behandeling worden aangeboden. Rights and obligations must be known at all times
Section 2:14 subsection 1 of the Curaçao Civil Code (‘CCC’) provides that every director of a legal entity (NV, BV, foundation or association) is obliged towards the legal entity to perform the duties properly within the sphere of his activities. If there is only one director, the sphere of his activities covers all the duties.

The civil court system in the Dutch Caribbean (Aruba, Bonaire, Curaçao, St. Maarten, St. Eustatius and Saba) consists of three tiers; first instance cases are brought before the Court of First Instance. Appeal cases are brought before the Joint Court of Appeal.

Hoe noem je 100 advocaten op de zeebodem? Precies……. een goed begin! Al eeuwenlang zijn advocaten het mikpunt van spot en figureren zij, vrijwel uitsluitend negatief geportretteerd, in grappen en grollen in allerhande talen en in verschillende culturen. In spreekwoorden, gezegden, zegswijzen en uitdrukkingen figureren advocaten aanzienlijk minder, sterker nog komen zij er zeer bekiiad van af.

Zoals wel vaker dwaalden mijn gedachten af naar het bestaan van een relatie tussen alledaagse zaken en het recht. Ditmaal bevond ik mij staand voor een urinoir op de vijfde etage in de Bijenkorf in Amsterdam in gedachten verzonken op zoek naar de relatie tussen urineren en recht.

Few people would argue that the rules issued by the state (government) must also be correctly and strictly observed by that same state. It cannot be well conceived that, for example, the police and Public Prosecutor’s Office (as instruments of the state) should be allowed to violate the law with impunity.

Why would one consider an asset protection strategy? There are individuals and business entities all around the world not trusting their government (e.g. fear for expropriation or nationalization by their government). Or they are seeking legitimate protection from any future downturns.

What would be the requirements, from a regulatory point of view, if a Curaçao or St. Maarten bank wished to sell its entire business or a substantial part thereof? Would it require approval from the Central Bank of Curaçao and St. Maarten (‘Centrale Bank van Curaçao en St. Maarten’)?

In de Bijbelse stad Babel werd de apocriefe toren nooit afgebouwd. God brak de macht van Nimrod en zijn volk door frankkunnemanalle mensen een andere taal te geven. Door de daaropvolgende Babylonische spraakverwarring kwam daarna niets meer tot stand. De toren die tot in de hemel zou reiken, werd nooit afgebouwd.
